GBNAT term of service | Think Nature

1.Definitions

“Our company” refers to Think Nature Inc.
The “User” refers to the individual or organization which is accessing or using GBNAT.
“End user” refers to the individual, organization, or entity which shall have analytical services related to biodiversity provided by the User based on our company’s services.
“Terms of Service” refers to this GBNAT Service of terms, including all terms that are referenced in this document.
“Purchased contents” refers to the contents (e.g. reports and data) from GBNAT that Users can purchase and download.

To purchase Purchased contents from GBNAT, Users shall register their personal data and create accounts in advance.
Users shall provide accurate, complete, and current information when creating an account for GBNAT and registering their personal data.
We may disable accounts, if the User violates these Terms of Service. We will not disclose the reasons when we take these actions.

Users are responsible for maintaining the confidentiality of any password they use in GBNAT and are responsible for all activities that occur under the own account.
Users shall not disclose your password to any third party.
Users shall not share, give or lend your account to any third party.

Copyright in any content provided by GBNAT, such as data, information, text, images, programs is owned by our company, except for content owned by third parties.
Users shall not reproduce, publicly display, publish, modify or distribute the copyrighted works contained in the content of GBNAT beyond the clause in 5.1 or personal use without the prior permission of the company.
Users shall not disassemble, decompile, reverse engineer, or otherwise analyze the source code, structure, and ideas of GBNAT.

Users of GBNAT may use Purchased contents only for the following purposes:
1. To use solely for personal or internal organizational operations.
2. To use for analysis to publish their personal or internal organization’s biodiversity reports. It shall be clearly stated in any User or organization reports or documents that any Purchased content provided using GBNAT is cited correctly.
3. To be used for analysis by the client organization. However, if the End user quotes Purchased content in any document, it must be clearly stated in the documentation that it was provided using GBNAT.
If the User is required to provide copies of the Purchased content or copy of Purchased contents to their client organization pursuant to clause 1, the User shall comply with the following:
1. If the copy of Purchased content is provided to End user, that organization shall comply with clause 2 and 4.3 of the Terms of Service.
2. If the End user publishes any documents using Purchased content, it must duly cite the content by clarifying in the document that the content has been provided by GBNAT.
3. Users shall strictly instruct the End user to comply with clause 4.2 and 4.3.
All copyright of the Purchased contents in the GBNAT belongs to our company and any rights shall not be transferred to anyone.

Users shall pay the fees shown on GBNAT before purchasing reports and data from GBNAT.
The prices required to purchase content are subject to change without notice and the new prices will apply from the time they are displayed on GBNAT at the time of purchase.
Refunds or cancellations are not possible after payment due to the specification of GBNAT.

Our company may suspend or discontinue the provision of GBNAT without prior notice to you if, in our reasonable opinion, the provision of GBNAT becomes unsustainable. For example, to carry out maintenance, servicing, or upgrading of the computer systems that make up GBNAT.
Our company accepts no liability for any loss or damage suffered by any User or third party because of the suspension or termination of GBNAT, for any reason.

We will take reasonable care in providing GBNAT. However, we do not warrant that GBNAT will be free from defects in fact or title (including defects as to safety, reliability, accuracy, integrity, effectiveness, fitness for purpose, security; errors; bugs; non-infringement).
We shall not be liable or responsible, directly or indirectly, for any loss or damage suffered by any User through GBNAT.
If the User or the End user interferes with our business in any way and causes damage, we can pursue compensation from the party responsible for infringing on our rights. Examples include but are not limited to copyright infringement, cyber-attacks, and fraudulent activities.

To accommodate ongoing changes and improvements to GBNAT, we may remove posted data, modify the Terms of Service, or discontinue the provision of GBNAT without notice to Users. We will not be liable for any damages incurred by the User because of any of the above.
We reserve the right to modify the Terms of Service without the consent of individual Users in the following cases:
1. If the modification of the Terms of Service is in the general interest of Users.
2. If the modification of the Terms of Service does not contradict the purpose of this Terms of Service and is reasonable in light of the necessity of the modification, the reasonableness of the modified content, and other circumstances related to the modification.
When modifying the Terms of Service, we will notify Users in advance of the modification, the contents of the modified Terms of Service and the effective date of the modification.

We will notify and contact Users using methods we deem appropriate (e.g. by notifying on GBNAT website, by email).

The interpretation of the Terms of Service shall be governed by the laws of Japan.
In the event of any dispute arising from GBNAT, the Naha District Court shall have exclusive jurisdiction.
